PLEASE READ THIS END-USER LICENSE AGREEMENT ("AGREEMENT") CAREFULLY BEFORE INSTALLING, ACTIVATING OR USING OPALYS. BY CLICKING "I AGREE", OR BY INSTALLING, ACTIVATING OR USING OPALYS, YOU AGREE TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE, DO NOT INSTALL, ACTIVATE OR USE OPALYS.
NOTHING IN THIS AGREEMENT LIMITS ANY RIGHTS YOU HAVE AS A CONSUMER UNDER THE MANDATORY LAWS OF THE COUNTRY, PROVINCE OR STATE WHERE YOU LIVE. SEE SECTION 15.
1. WHO THIS AGREEMENT IS BETWEEN
1.1 This Agreement is a legal agreement between you (either an individual or a single legal entity, "you" or "Licensee") and MIDILATINO, operating from Ontario, Canada ("MIDILATINO", "we", "us" or "our").
1.2 MIDILATINO is the exclusive authorized seller and the licensor of OPALYS, with the authorization of its owner, DAYDDRXGON (see Section 5). All purchases, license keys, support and refunds are handled by MIDILATINO.
1.3 Every license, promise, obligation, warranty and liability toward you under this Agreement is MIDILATINO's alone. DAYDDRXGON (defined in Section 2.9) is not a party to this Agreement and makes no promise to you.
2. DEFINITIONS
2.1 "Software" or "OPALYS" means the OPALYS audio plugin and standalone application in all formats provided (including VST3, AU and Standalone), together with its installers, factory presets, documentation, and any Updates provided to you.
2.2 "License Key" means the unique code issued to you upon purchase that is used to activate the Software.
2.3 "Activation" means the online process by which a License Key is linked to a specific computer so the Software can run on it.
2.4 "Output" means any audio, music, recording, stem, sample or other sound material that you create, process or produce using the Software.
2.5 "Factory Presets" means the presets, settings and sound configurations included with the Software.
2.6 "User Presets" means presets that you create yourself using the Software.
2.7 "Submitted Presets" means User Presets that you voluntarily send under Section 8.
2.8 "Updates" means patches, bug fixes, new versions, upgrades and other modifications to the Software that MIDILATINO may make available.
2.9 "DAYDDRXGON" means Daniel de Jesus Camarillo Nava, who creates and develops the Software under the name DAYDDRXGON and is its sole owner, and any successor to his rights in the Software.
3. LICENSE GRANT
3.1 Subject to your payment of the applicable price and your compliance with this Agreement, MIDILATINO grants you a perpetual, worldwide, non-exclusive, non-transferable, non-sublicensable license to install, activate and use the Software.
3.2 Each License Key may be activated on up to two (2) computers at the same time. Both computers must be owned or controlled by you and used by you. The license is personal to you: it may not be shared with, lent to, or used by any other person.
3.3 The license is perpetual. It does not expire and does not require any recurring payment. It may only be terminated in the cases described in Section 13.
3.4 The license is non-transferable. You may not sell, resell, give away, transfer or assign the Software, your license or your License Key to any other person, whether for payment or free of charge.
3.5 The Software is licensed, not sold. You acquire a license to use the Software; you do not acquire ownership of the Software or of any copy of it.
4. ACTIVATION AND LICENSE KEYS
4.1 The Software requires online Activation with a valid License Key. An internet connection is required at the time of Activation and may be required periodically to validate the license.
4.2 You may deactivate the Software on any of your computers at any time from within the Software, which frees that Activation so you can use it on another computer. You do not need to contact support to move your license to a new computer.
4.3 You are responsible for keeping your License Key confidential. You must not publish, share, post online or otherwise disclose your License Key to any other person.
4.4 If MIDILATINO reasonably determines that a License Key has been activated beyond the limit in Section 3.2, shared with another person, published, resold, or used in any other way that breaches this Agreement, MIDILATINO may:
- (a) deactivate the Activations that exceed the permitted limit;
- (b) after notifying you by email and giving you a reasonable opportunity to respond, suspend the License Key; and
- (c) if the misuse continues or involves publication, resale or distribution of the License Key, terminate the license under Section 13. No refund will be issued for a license suspended or terminated under this Section.
4.5 If MIDILATINO permanently discontinues online Activation for the Software, MIDILATINO will use reasonable efforts to provide licensed users in good standing with a way to continue using the latest version of the Software they were licensed to use, such as an offline activation method or an unlocked version.
5. OWNERSHIP AND INTELLECTUAL PROPERTY
5.1 The Software, including without limitation its source code, object code, algorithms, digital signal processing, architecture, user interface, graphics, design, Factory Presets, names, logos and documentation, together with all copyrights, trademarks, trade secrets and other intellectual property rights in it, is and remains the exclusive property of DAYDDRXGON.
5.2 MIDILATINO sells the Software as its exclusive authorized seller, with the authorization of DAYDDRXGON. MIDILATINO does not own the Software or any intellectual property right in it, and nothing in this Agreement transfers any such right to MIDILATINO or to you.
5.3 Except for the limited license expressly granted in Section 3, no rights, title or interest in the Software are transferred to you. All rights not expressly granted to you are reserved by DAYDDRXGON.
5.4 "OPALYS" and its logo are trademarks of DAYDDRXGON. "MIDILATINO" and its logo are trademarks of MIDILATINO. Nothing in this Agreement grants you any right to use them.
6. YOUR OUTPUT AND YOUR PRESETS
6.1 You own your Output. Neither MIDILATINO nor DAYDDRXGON claims ownership of, or royalties or credit on, any audio, music or other material you create using the Software. You may use your Output for any personal or commercial purpose, including releasing, selling, licensing and streaming music, without any further payment.
6.2 You may use the sounds and settings of the Factory Presets inside your own music and productions, royalty-free, for any personal or commercial purpose.
6.3 You may not redistribute, sell, share, give away or include the Factory Presets themselves (as preset files, banks or collections, whether original or modified) in any product, library, preset pack or service.
6.4 You own the User Presets you create. You may share or sell your own User Presets, provided they are created by you and do not consist of, or substantially copy, the Factory Presets.
7. RESTRICTIONS
Except as expressly permitted by this Agreement or by applicable law that cannot be excluded by contract, you must not, and must not allow any other person to:
- (a) copy the Software, except for the installation copies permitted under Section 3.2 and one backup copy of the installer for your own use;
- (b) sell, resell, rent, lease, lend, sublicense, distribute, host or otherwise make the Software or your License Key available to any other person;
- (c) modify, translate, adapt or create derivative works of the Software;
- (d) decompile, disassemble, reverse engineer or otherwise attempt to derive the source code, algorithms or internal structure of the Software, except to the extent that applicable law expressly permits this despite this restriction;
- (e) remove, bypass, disable, crack or interfere with the Activation system, License Key validation or any other technical protection in the Software, or distribute any tool designed to do so;
- (f) remove, alter or obscure any copyright, trademark or other proprietary notice in the Software;
- (g) use the Software, or any part of it, to develop, train or build a competing product, plugin, preset library or audio processing tool, including by analyzing its processing for the purpose of replicating it;
- (h) use the Software in any way that violates applicable law.
8. PRESET SUBMISSIONS
8.1 You may be offered the option to voluntarily submit User Presets for possible inclusion in official OPALYS preset expansions or in other MIDILATINO products. Submitting presets is entirely optional.
8.2 By submitting a preset, you confirm that:
- (a) you created it yourself;
- (b) it does not substantially copy the Factory Presets or any third party's presets; and
- (c) you have the right to grant the license below.
8.3 If you submit a preset, you grant DAYDDRXGON and MIDILATINO a worldwide, perpetual, irrevocable, royalty-free, non-exclusive license to use, reproduce, modify, adapt, include, distribute, sell and sublicense that preset as part of OPALYS and its expansions, and you grant MIDILATINO the same license for its other products. You keep ownership of your preset and remain free to use it yourself in any way.
8.4 Credit. The only compensation for a Submitted Preset is credit. If your Submitted Preset is used, the author credit will be displayed exactly as you entered it in the author field at the time of submission (for example: "IG: @yourname"). A submission may be declined, and a credit text may be declined if it is offensive, misleading, infringes the rights of others, or contains unrelated promotional content or links.
8.5 To the extent permitted by applicable law, you agree not to assert any moral rights in your Submitted Preset against DAYDDRXGON, MIDILATINO or their users in a way that would prevent its use as described in Section 8.3, other than your right to be credited under Section 8.4.
9. FEEDBACK
If you send suggestions, ideas or feedback about the Software ("Feedback"), DAYDDRXGON and MIDILATINO may use that Feedback freely, without any obligation to you. This Section does not apply to Submitted Presets, which are governed by Section 8.
10. UPDATES
10.1 MIDILATINO may, but is not obligated to, provide Updates. Updates are provided under this Agreement unless they are accompanied by different terms that you accept.
10.2 Updates may add, change or remove features. If you choose not to install an Update, the version you already have will continue to work under this Agreement, subject to the compatibility limits of your operating system and host software.
10.3 MIDILATINO does not guarantee that the Software will remain compatible with future versions of operating systems, plugin hosts (DAWs) or hardware released after your purchase.
11. SUPPORT AND REFUNDS
11.1 Support is provided by MIDILATINO by email at support@midilatin.com.
11.2 Refunds are governed by the OPALYS Refund Policy, available inside the Software and on the OPALYS product page at midilatin.com, which forms part of this Agreement. In summary, a refund is available within fourteen (14) days of purchase where the Software is completely unusable on a computer that meets the published minimum system requirements and the issue cannot be resolved by support.
11.3 The Refund Policy does not limit any refund, withdrawal or remedy rights you have under the mandatory consumer laws that apply to you.
12. PRIVACY
12.1 MIDILATINO processes personal information in accordance with its Privacy Policy, available at https://midilatin.com/policies/privacy-policy, and the OPALYS Privacy Addendum, available inside the Software and on the OPALYS product page at midilatin.com.
12.2 In summary: the Software sends the information needed for license Activation. Performance reports and preset submissions are only sent if you choose to send them. Any use of your information to improve other MIDILATINO products is optional, off by default, and can be switched on or off at any time in the Software settings or by emailing support@midilatin.com.
13. TERM AND TERMINATION
13.1 This Agreement remains in effect for as long as you use the Software, unless terminated under this Section.
13.2 You may terminate this Agreement at any time by deactivating and uninstalling the Software from all your computers.
13.3 MIDILATINO may terminate this Agreement and your license only if you materially breach it, including by breaching Section 3.4 (transfer), Section 4 (License Key misuse), Section 7 (restrictions) or by infringing the intellectual property rights of DAYDDRXGON or of MIDILATINO. Except where the breach involves publication, resale or distribution of the License Key or of the Software, or circumvention of the Activation system, MIDILATINO will first notify you by email and give you a reasonable opportunity to remedy the breach.
13.4 On termination, you must stop using the Software and delete all copies of it. Sections 5, 6, 8, 9, 14, 15, 16, 17 and 20 survive termination.
13.5 A refund issued under the Refund Policy terminates the license for the refunded purchase, and the related License Key is deactivated.
14. WARRANTY DISCLAIMER
14.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AND SUBJECT TO SECTION 15, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", AND MIDILATINO AND DAYDDRXGON DISCLAIM ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
14.2 WITHOUT LIMITING SECTION 14.1, MIDILATINO DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR CREATIVE EXPECTATIONS, OPERATE WITHOUT INTERRUPTION OR ERRORS, OR BE COMPATIBLE WITH EVERY PLUGIN HOST OR SYSTEM CONFIGURATION.
15. YOUR RIGHTS AS A CONSUMER
15.1 If you are a consumer, you may have rights under the mandatory consumer protection laws of the country, province or state where you live, which cannot be waived, excluded or limited by contract. This includes, without limitation, rights under the consumer laws of the Canadian provinces (including Ontario and Québec), the European Union and its Member States, the United Kingdom, Mexico and other jurisdictions.
15.2 Nothing in this Agreement excludes, restricts or modifies any such right. Where any provision of this Agreement conflicts with a mandatory consumer right that applies to you, that right prevails and the provision applies only to the extent permitted by that law.
15.3 If you are a consumer in the European Union or the United Kingdom, MIDILATINO is liable under applicable law for digital content that is not in conformity with the contract, and you are entitled to the remedies provided by that law.
16. LIMITATION OF LIABILITY
16.1 SUBJECT TO SECTIONS 15 AND 16.3, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL MIDILATINO OR DAYDDRXGON BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF PROJECTS OR RECORDINGS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SOFTWARE OR THIS AGREEMENT.
16.2 SUBJECT TO SECTIONS 15 AND 16.3, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL LIABILITY OF MIDILATINO ARISING OUT OF OR RELATED TO THE SOFTWARE OR THIS AGREEMENT WILL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID FOR THE SOFTWARE.
16.3 Nothing in this Agreement limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for gross negligence or willful misconduct, or for any other liability that cannot be limited or excluded under applicable law.
16.4 You are responsible for maintaining backups of your projects, recordings and presets.
16.5 Because DAYDDRXGON is not a party to this Agreement and makes no promise to you (Section 1.3), any claim relating to the Software or to this Agreement must be brought against MIDILATINO only.
17. INDEMNITY
To the extent permitted by applicable law, you agree to compensate MIDILATINO and DAYDDRXGON for losses, damages and reasonable legal costs arising from third-party claims caused by (a) your publication, sharing, resale or distribution of the Software or your License Key in breach of this Agreement, or (b) a Submitted Preset that infringes the rights of a third party. This Section does not apply to consumers where prohibited by applicable law.
18. THIRD-PARTY COMPONENTS AND TRADEMARKS
18.1 The Software is built using the JUCE framework, used under license from its owner. The Software may include other third-party components, which are licensed under their own terms. A list of third-party components and their notices is available in the Software's "About" section and/or its documentation.
18.2 VST is a registered trademark of Steinberg Media Technologies GmbH. Audio Units and macOS are trademarks of Apple Inc. Windows is a trademark of Microsoft Corporation. All other trademarks belong to their respective owners. Their use does not imply endorsement.
19. EXPORT AND SANCTIONS
You agree to comply with all export control and economic sanctions laws that apply to you, including those of Canada, and you represent that you are not located in, or a resident of, a country or region subject to comprehensive sanctions under those laws, and that you are not a person with whom such laws prohibit dealings.
20. GOVERNING LAW AND DISPUTES
20.1 This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable in it, excluding their conflict-of-laws rules.
20.2 The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement.
20.3 Before starting any formal proceeding, please contact support@midilatin.com so we can try to resolve the issue informally.
20.4 Subject to Section 20.5, the courts of the Province of Ontario have jurisdiction over any dispute arising out of this Agreement.
20.5 If you are a consumer, the choice of law in Section 20.1 does not deprive you of the protection of the mandatory laws of the country, province or state where you live, and you may bring proceedings in the courts of your place of residence where the law of that place gives you that right.
21. CHANGES TO THIS AGREEMENT
21.1 MIDILATINO may update this Agreement for future versions of the Software or for new purchases. The updated Agreement will be presented to you for acceptance when you install or activate an Update or make a new purchase.
21.2 Changes will not remove or reduce the rights you already acquired for the version you purchased. If you do not accept an updated Agreement, you may continue to use the version you already have under the Agreement you originally accepted.
22. GENERAL
22.1 Entire Agreement. This Agreement, together with the Refund Policy and the Privacy Policy and OPALYS Privacy Addendum referred to in it, is the entire agreement between you and MIDILATINO regarding the Software.
22.2 Severability. If any provision of this Agreement is held invalid or unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions will remain in full effect.
22.3 No Waiver. A failure or delay by MIDILATINO in enforcing any right under this Agreement is not a waiver of that right.
22.4 Assignment. You may not assign or transfer this Agreement or your license. MIDILATINO may assign this Agreement in connection with a merger, acquisition, reorganization or sale of all or part of its business, provided that your rights under this Agreement are not reduced. A change in the ownership of the Software does not affect your license.
22.5 Third-Party Beneficiary. DAYDDRXGON is an intended third-party beneficiary of this Agreement only for the purpose of enforcing Sections 5, 7 and 17, which protect its rights in the Software. This gives DAYDDRXGON rights, not obligations toward you.
22.6 Language. This Agreement is drafted in English. Any translation is provided for convenience only; if there is any inconsistency, the English version prevails, except where applicable law requires a version in another language to prevail.
